1. Agreement to Terms

By purchasing, installing, or using any product or service provided by OnePay Tracking Systems Limited (“OnePay”, “the Company”), you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

2. Services Provided

OnePay provides GPS tracking hardware, software platforms, fleet management services, anti-theft systems, fuel monitoring, AI dashcams, and KRA-compliant Electronic Cargo Tracking System (ECTS) services. Specific scope of service is defined in your individual Service Agreement or purchase order.

3. Subscriptions and Payments

  • Subscriptions are billed monthly or annually as agreed at time of purchase.
  • Payments are due within 7 days of invoice date.
  • Late payments may result in service suspension after 14 days notice.
  • Hardware sales are final. Software subscription fees are non-refundable after the first 30 days.
  • All prices are in Kenya Shillings (KES) and inclusive of VAT at the applicable rate.

4. Installation and Hardware

  • Installation is performed by OnePay-certified technicians. Unauthorised installation voids the warranty.
  • Hardware remains the property of OnePay until fully paid for.
  • Deliberate tampering, removal, or damage to installed hardware will incur replacement costs.
  • Warranty covers manufacturing defects for 12 months from installation. Physical damage is excluded.

5. Permitted Use

You agree to use the service only for lawful purposes and in compliance with all applicable Kenyan laws. You must not:

  • Use the service to track individuals without their consent where prohibited by law.
  • Attempt to reverse-engineer, copy, or resell the software platform.
  • Share account credentials with unauthorised third parties.

6. Data & Privacy

Processing of personal data is governed by our Privacy Policy and the Kenya Data Protection Act 2019. Vehicle location data generated by subscribed trackers is available to the registered account holder and authorised sub-users only.

7. ECTS Compliance

Clients requiring ECTS services acknowledge that location data is transmitted to the KRA customs system as required by law. OnePay is not liable for customs holds, penalties, or delays arising from incorrect cargo declarations made by the client.

8. Limitation of Liability

OnePay's total liability for any claim arising from these terms shall not exceed the amounts paid by you in the three months preceding the claim. OnePay is not liable for indirect losses, including lost profits, vehicle theft not reported within 1 hour of alert, or downtime caused by third-party network outages.

9. Service Level

We target 99.5% platform uptime, excluding scheduled maintenance (communicated 24 hours in advance) and events beyond our reasonable control (force majeure, network outages, power interruptions).

10. Termination

Either party may terminate a monthly subscription with 30 days written notice. Annual subscriptions auto-renew unless cancelled 30 days before the renewal date. Upon termination, hardware must be returned or its market value invoiced.

11. Governing Law

These terms are governed by the laws of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.
